Ground Dwellers The Woodlands is referred to in these Terms as “Ground Dwellers,” “we,” “us,” or “our.” By accessing or using the Website, you agree to be bound by these
Terms and our Privacy Policy. If you do not agree, do not access or use the Website.

Website Use

You may use the Website only for lawful, personal, and non-commercial purposes and in accordance with these Terms.

You are responsible for ensuring that your use of the Website complies with all applicable laws and regulations.

Use the Website in a manner that violates any applicable law or regulation;

The Website may include information about Brazilian jiu-jitsu, martial arts, fitness,
training, wellness, classes, programs, and related subjects. Such information is
provided for general informational purposes only and is not medical, health, fitness,
legal, or professional advice.
Participation in martial arts, fitness, and physical training involves inherent risks,
including the risk of serious injury, illness, disability, or death. You should consult a
qualified physician or other appropriate professional before beginning or changing any
exercise, martial-arts, fitness, or wellness program. Do not rely on Website content as a
substitute for professional medical advice, diagnosis, or treatment.
Website use, submitting an inquiry, booking a trial, or communicating with Ground
Dwellers through the Website does not create a trainer-client, physician-patient,
attorney-client, or other professional relationship.

No Enrollment or Participation Without Required Documentation

Website inquiries, trial requests, class reservations, purchases, or other
communications do not guarantee enrollment, membership, participation, availability,
pricing, or admission to any program, class, event, or facility.
Participation in any Ground Dwellers activity may be conditioned on completion of
registration materials, payment of applicable fees, execution of waivers and releases,
compliance with academy rules, and satisfaction of any age, health, safety, or other
eligibility requirements. Ground Dwellers may refuse, suspend, or terminate
participation or membership as permitted by applicable agreements and law.

Intellectual Property

The Website and all content on it, including text, graphics, logos, photographs, videos,
designs, software, trademarks, service marks, trade names, and other materials, are

owned by or licensed to Ground Dwellers and are protected by applicable intellectual-
property laws.
Subject to these Terms, Ground Dwellers grants you a limited, revocable, non-exclusive,
non-transferable license to access and view the Website for personal, non-commercial
use. This license does not transfer any ownership interest in the Website or its content.
“Ground Dwellers The Woodlands” and related names, logos, and marks are
trademarks or service marks of Ground Dwellers or their respective owners. You may
not use them without prior written permission.

User Submissions

If you submit information, feedback, reviews, photographs, videos, testimonials,
comments, or other content through the Website or otherwise provide it to us (“User
Content”), you represent and warrant that you have all rights necessary to provide the
User Content and that it does not violate any law or third-party right.
To the extent permitted by law, you grant Ground Dwellers a non-exclusive, worldwide,
royalty-free, transferable, sublicensable license to use, reproduce, modify, publish,
display, distribute, and otherwise use User Content for operating, promoting, and
improving our business, services, and Website. This license does not alter any rights
you may have under applicable privacy law.
We may, but are not obligated to, monitor, review, remove, or refuse User Content at our
discretion.

The Website may link to third-party websites, platforms, products, or services. Those
links are provided for convenience only and do not constitute an endorsement,
sponsorship, or recommendation by Ground Dwellers. We do not control and are not

MAXIMUM EXTENT PERMITTED BY LAW, GROUND DWELLERS DISCLAIMS ALL
WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE,
INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY,
AND FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

GROUND DWELLERS DOES NOT WARRANT THAT THE WEBSITE WILL BE
UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, CURRENT,
OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION. WE MAY MODIFY,
SUSPEND, OR DISCONTINUE ALL OR ANY PORTION OF THE WEBSITE AT ANY
TIME WITHOUT NOTICE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROUND DWELLERS AND ITS
OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, INSTRUCTORS,
AGENTS, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS
SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF
PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR
BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR ACCESS
TO, USE OF, OR INABILITY TO USE THE WEBSITE OR ANY CONTENT OR
SERVICE MADE AVAILABLE THROUGH IT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF
GROUND DWELLERS AND ITS RELATED PARTIES FOR ALL CLAIMS ARISING OUT
OF OR RELATING TO THE WEBSITE OR THESE TERMS SHALL NOT EXCEED ONE
HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID DIRECTLY TO GROUND
DWELLERS FOR USE OF THE WEBSITE DURING THE THREE MONTHS BEFORE
THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT
LAWFULLY BE EXCLUDED OR LIMITED.

Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold
harmless Ground Dwellers and its owners, members, managers, officers, employees,
instructors, agents, contractors, affiliates, licensors, and service providers from and
against any claims, demands, actions, damages, losses, liabilities, costs, and expenses,
including reasonable attorneys’ fees, arising out of or related to: (a) your use of the
Website; (b) your violation of these Terms; (c) your violation of applicable law or the
rights of another person; or (d) User Content you submit or provide.

Messaging Terms

By providing your mobile telephone number and affirmatively opting in to receive text
messages from Ground Dwellers, you consent to receive recurring automated and non-
automated SMS or MMS messages from us, which may include appointment
confirmations, class reminders, account notifications, trial-class information, and
promotional messages.

Consent to receive marketing messages is not a condition of purchasing any goods or
services. Message frequency varies. Message and data rates may apply.

You may opt out of text messages at any time by replying STOP. After you send STOP,
we will send a confirmation message and you will no longer receive text messages from
that messaging program unless you later opt in again. For assistance, reply HELP.
Wireless carriers are not liable for delayed or undelivered messages.

You represent that you are the account holder for the mobile number provided or have
the account holder’s authorization to enroll that number in the messaging program. You
agree to notify us promptly if your mobile number changes or is reassigned.

Changes to These Terms

We may revise these Terms at any time. Updated Terms will be posted on the Website
with a revised effective date. Your continued use of the Website after updated Terms are
posted constitutes acceptance of the updated Terms to the extent permitted by law.

Governing Law and Venue

These Terms and any dispute arising out of or relating to the Website or these Terms
are governed by the laws of the State of Texas, without regard to conflict-of-law
principles.
To the extent permitted by law, any legal action or proceeding arising out of or relating to
the Website or these Terms must be brought exclusively in the state or federal courts
located in Montgomery County, Texas, and you consent to the personal jurisdiction and
venue of those courts.

Severability; Waiver

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision
shall be enforced to the maximum extent permitted by law, and the remaining provisions
shall remain in full force and effect.
Our failure to enforce any provision of these Terms is not a waiver of that provision or of
our right to enforce it later.
